What Happens if I miss my Annual Update Deadline?

Missing your deadline causes four immediate problems:

Financial penalties

Financial penalties are determined by the property’s value and the entity's culpability. Penalties range from £10,000 to £50,000 per property depending on its valuation tier (Low, Medium, or High).

Property restrictions

Companies House notifies Land Registry within days. A restriction is placed on all your UK properties preventing you from completing sales, registering mortgages, granting long leases, or making transfers. Transactions cannot proceed until you file and restrictions are lifted (typically several days after filing).

Criminal liability

Every director, manager, or officer in default commits a criminal offense, creating personal legal exposure.

Your Overseas Entity ID becomes invalid until you file the overdue statement.

Note on Public Record

Companies House will add a note to the entity’s public record explicitly stating that the entity has not filed its mandatory update statement. This serves as a public warning to any potential business partners, lenders, or buyers that the entity is currently non-compliant.

Annual Update Statement

FAQs

Do I need to file an annual update if nothing has changed?

Yes, filing is mandatory by law even when nothing has changed. The Economic Crime (Transparency and Enforcement) Act 2022 requires every overseas entity to file an annual update statement confirming their information remains accurate, regardless of whether changes occurred.

This is not optional. Failing to file a no-change statement triggers the same penalties, Land Registry restrictions preventing property transactions, and criminal liability for officers as failing to file after changes. You must file annually until you successfully apply for removal from the register.

Can I file the annual update myself or do I need a professional?

You can file using Companies House Digital Disclosure Service, but you cannot complete it without a UK regulated agent verifying your beneficial owners and managing officers. This verification is mandatory by law. You cannot self-verify.

Self-filing is possible if:

  • You have straightforward individual beneficial ownership
  • No changes occurred during the year
  • You have access to a UK regulated agent (solicitor, accountant, or corporate service provider registered for anti-money laundering supervision)

Professional help is recommended if:

  • Your ownership involves corporate structures, trusts, or partnerships
  • Changes occurred requiring timeline reconstruction and new verification
  • Beneficial owners are overseas needing international verification
  • You're uncertain who qualifies as a beneficial owner
  • Your deadline is approaching

Professional assistance prevents Companies House rejection and deadline-missing errors requiring costly correction.

How do I calculate my annual update filing deadline?

Your deadline is 14 days after the end of your 12-month update period, which runs from your registration anniversary, not your financial year-end.

Example

  • Update period: 15 March 2023 to 14 March 2024
  • Filing deadline: 28 March 2024

Find your specific date by searching your entity on the Companies House register. Many entities miscalculate by using financial year-end dates instead of registration anniversaries, causing unintentional late filing.
