What Are the LLP Company Formation Guidelines?

When holding Property through a Limited Liability Partnership (LLP), compliance with tax and accounting regulations is essential to ensure legal complaints and maximise tax efficiency.

  • Financial Reporting

LLPs must keep accurate records of property income, expenses, and assets in accordance with UK GAAP.

  • Annual Accounts

LLPs must file annual accounts comprising a Statement of financial position, Statement of profit and losses and other relevant details with Companies House

  • Tax Returns

While the LLP does not pay tax on its profits, it must submit a partnership tax return to HMRC. Each partner then reports and pays tax on their share of profit or losses from the LLP through Self-assessment.

  • VAT Registration

LLPs renting out residential Property don't need VAT registration, as residential rent is VAT-exempt. However, LLPs involved in property development or commercial Property letting may need to register for VAT if their taxable turnover exceeds the threshold.

  • Capital Gains Tax (CGT)

Any capital gains on property disposals must be reported on the LLP's tax return. Partners must report their share of capital gains on their tax returns.

  • Succession Planning & Partner Changes

The LLP structure offers flexibility in changing or transferring ownership interests or partners. However, legal and tax procedures, such as Capital Gains Tax (CGT) or Stamp Duty, must be followed to minimise potential costs.
